Terms of Service

1. Agreement to these Terms

These Terms of Service ("Terms") are a binding agreement between you and LuxRide, a protected series of Nexus Diversity Group, LLC ("LuxRide," "we," "us"). By accessing or using the LuxRide rider application and Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

2. Eligibility & access

You must be at least 18 years old and able to form a binding contract. LuxRide does not currently offer a teen-rider or family-account program; every rider account must independently meet this age requirement. The Services are currently offered as an invite-only early-access launch; access may be limited to allowlisted users.

3. Accounts & registration

You agree to provide accurate information, keep your credentials secure, and are responsible for activity under your account. Notify us promptly of any unauthorized use.

4. The Services

LuxRide provides an application to request and receive VIP private ground transportation. LuxRide is a technology platform that connects riders with independent, third-party drivers. LuxRide is not a common carrier or motor carrier and does not itself provide transportation services. Rides are provided by drivers who participate under a separate Driver Agreement as independent contractors, not as LuxRide's employees or agents.

5. Payment

A valid payment method (card-on-file via Stripe) is required to request a ride. Fares are calculated based on distance and time and charged automatically after drop-off; you may add an optional gratuity, which is paid to your driver in full. Pricing is shown before you confirm a ride request. Charges are final and non-refundable, except as required by law or as LuxRide otherwise determines. Card data is processed by Stripe — LuxRide does not store full card numbers.

The Services remain an invite-only early-access launch — access may be limited to allowlisted users (see §2) — but rides are charged, not free.

6. Cancellations & no-shows

You may cancel a ride request at no charge before a driver is matched, and for a short grace period immediately after a driver is matched. Cancelling after that window, or failing to show up for a ride you requested, may result in a cancellation or no-show fee reflecting the driver's time and distance already committed to your trip. Current fee amounts, the grace-period length, and wait-time thresholds are published in the LuxRide app and Help Center rather than fixed in these Terms, and may be updated from time to time. LuxRide may also limit your ability to request rides if you cancel repeatedly or in a short window.

7. Rider conduct & assumption of risk

You agree to behave safely and lawfully during rides, to follow reasonable driver and safety instructions, and not to engage in abusive, dangerous, or unlawful conduct. You acknowledge the inherent risks of vehicle transportation. We may refuse or end service for unsafe or abusive conduct.

8. Insurance disclosure

LuxRide makes no representation or warranty that it will procure, maintain, or provide insurance of any type or amount on your or any third party's behalf, except as required by law. LuxRide may change or cancel any insurance coverage it maintains or arranges at any time, without notice. Insurance requirements and coverage may also differ if LuxRide operates in other markets in the future.

Under Missouri's transportation network company insurance statute (Mo. Rev. Stat. §379.1702), the following are the statutory minimum insurance requirements while a driver is available through the LuxRide app:

9. Acceptable use

You agree not to misuse or disrupt the Services, access data not intended for you, reverse engineer or scrape without permission, or use the Services to violate any law.

10. Location & data

The Services require precise location to function (see the Privacy Policy). By using the Services you consent to the collection and use of location data as described there for the duration of trip activity.

11. Third-party services

The Services rely on third parties (e.g., Supabase, Mapbox, Stripe, Vercel). We are not responsible for third-party services, and their terms govern your use of them.

12. Intellectual property

The Services, including software, content, and trademarks (including "LuxRide" and "Nexus Diversity Group"), are owned by LuxRide/NDG or its licensors. No rights are granted except as expressly stated.

13. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, to the fullest extent permitted by law. LuxRide does not guarantee the quality, suitability, or safety of drivers, and does not guarantee that the Services will be uninterrupted or error-free. The Services are currently offered as an early-access, invite-only launch, and features may change or be interrupted.

14. Limitation of liability

To the fullest extent permitted by law, LuxRide is not liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from your use of the Services — including lost profits or lost data — or from any transaction or relationship between you and a third-party driver.

15. Indemnification

You agree to indemnify and hold harmless LuxRide, its affiliates, and their officers, directors, employees, and agents from claims arising from your misuse of the Services, violation of these Terms, or violation of any law or third-party right.

16. Dispute resolution

Informal resolution first. Before filing a claim, you and LuxRide agree to try to resolve the dispute informally by contacting legal@luxridehq.com; either party may proceed further if the dispute is not resolved within 60 days.

Binding individual arbitration. Except as described below, any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration, not in court, under the Federal Arbitration Act.

Class-action waiver. You and LuxRide agree that each may bring claims only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding.

Exceptions. Either party may bring an individual claim in small claims court. Claims for sexual assault or sexual harassment, and claims for injunctive relief to protect intellectual property, are not subject to this arbitration agreement.

17. Governing law

These Terms are governed by the laws of the State of Missouri, LuxRide's sole operating state, without regard to conflict-of-laws rules.

18. Changes to these Terms

We may update these Terms; the updated version takes effect when posted with a new effective date, or as otherwise required by law. Continued use means acceptance.

19. Termination

We may suspend or terminate access at any time for violation of these Terms, safety concerns, or as needed to protect the Services; where practical and not a safety concern, we will provide notice. Provisions that should survive (IP, disclaimers, liability, indemnity, dispute resolution) survive termination.

20. Miscellaneous

These Terms (with the Privacy Policy) are the entire agreement for riders. Driver participation is governed by a separate Driver Agreement. If any provision is unenforceable, the rest remains in effect. We may assign these Terms to an affiliate or successor; you may not assign without our consent. We may provide notices to you by email, through the app, or by posting on our website.
